WPP offers $2.2 billion to buy Taylor Nelson Sofres
LONDON (MarketWatch) -- Advertising giant WPP said Wednesday that it will offer 173 pence in cash and 0.1889 of a new WPP share to buy media buying agency Taylor Nelson Sofres . The offer values TNS at 1.1 billion pounds ($2.2 billion), or 260.60 pence a share, based on WPP's closing price of 464 pence on July 8. WPP expects cost synergies of at least 52 million pounds a year from before tax by 2011, in addition to incremental revenue opportunities, from the deal. Total cash costs to achieve these synergies is not expected to exceed 52 million pounds. WPP said that it believes the deal will enhance earnings enhancing in the third full year following completion. TNS has already agreed to merge with Germany's GfK .
